OK. I made sure the kernel-headers matched the kernel I am using and
that it was linked correctly. Then did as Adam suggested ie

as root (me no likey sudo) ran the following commands

m-a prepare
m-a a-i virtualbox-ose
modprobe vboxdrv

and I can now run XP Pro again
